Internet Banking Agreement and Disclosure

This Agreement and Disclosure sets forth your and our rights and responsibilities concerning the use of our Internet Banking Product. In this agreement, the words "you" and "your" mean those who sign as applicants or any authorized user(s). The words "we", "us", "Bank" and "our" mean Bank of Commerce and Trust Company. By using Internet Banking, you agree to all of the terms of this agreement.

Internet Banking Features

You may access your account information by using a specific, unique Internet User ID and password. At the present time, you may use the system to:

Online Statements

Online statements are offered for eligible deposit accounts, allowing you to replace your mailed (paper) statement with an electronic version (PDF) that you can view, save to your computer, or print at your convenience. An online statement will replace your mailed statement in its entirety. For access to online statements you will need to complete the "Online Statement Agreement".

You may cancel your online statements at any time. You may do so by submitting a "Contact Us" form within Internet Banking. When you turn off this feature, you will begin to receive paper statements with your next statement cycle.

After six months of inactivity by the customer to internet banking their access is deleted and if they were enrolled for online statements, the paper statement will be reinstated.

Shared Access

Shared Access Agreement Granting Access to Other People (Shared Access) as the authenticated primary user of online banking, you have the ability to entitle another person or persons (subusers) with access to your online banking site and with certain authorities with respect to your accounts. Shared Access include view-only access, making transfers between designated accounts and initiating payments from designated accounts, granted individually or in combination. You have sole authority and control in sharing access with, managing and disabling subusers and/or their respective authority. You authorize us to act on transaction instructions initiated

under the credentials of an authenticated subuser, just as if it was initiated under your credentials. When granting Shared Access, you assume total liability for any and all activities of a subuser with respect to your accounts, and you agree to hold us harmless in any claim you make against a subuser for breach of your agreement with said subuser pursuant to Shared Access.

Fees and Charges

Limitations on Frequency and Amount

According to Federal Regulations, you may not make more than six (6) preauthorized or automatic transfers from your money market account or savings account during a given monthly statement period. There are no limits on the number or dollar amount of transfers or payments you make from your checking account. Balances shown online as of close of business for the prior day. Balances may include deposits subject to verification by us. The balance may also differ from your records due to deposits in process, outstanding checks or other withdrawals, payments or charges. We have the right to cancel transactions if sufficient funds are not available in your account.

Multiple Account Relationships with Us

If you have more than one account relationship with us, you may "LINK" these relationships together as we permit. All owners and signers of the accounts "Linked" under our Internet Banking product must be the same. You and any person you authorize to access your accounts through our Internet Banking product must utilize a User ID and Password separate from each other.

Alternative Accounts

If, as an account holder, you have deposit accounts with us under the name or two or more persons payable to anyone of such depositors (e.g. Jane Doe or John Doe), you are jointly and severally liable under this agreement. Each of you have the ability to access your accounts with us using a separate Password and may perform transactions such as funds transfers, bill payments, obtain information, or even terminate this agreement.

Be advised, that with regards to such deposits, we are not required to obtain the consent of, or notify the other one of you about the actions of the other. Both of you release us from any liability for honoring and allowing any transactions or actions initiated by either one of you. Each of you indemnifies and holds the Bank harmless from any and all liability resulting from transactions either one of you initiate.

User ID and Password

The User ID and password created is for your security purposes. Your password is confidential and should not be disclosed to third parties. You are responsible for safekeeping your password. You may change your password at any time by clicking "My Settings", then "Edit Password". You should carefully select a password that is hard to guess. We suggest that you stay away from names, dates, and information that may be easily guessed. You agree not to disclose or otherwise make your password available to anyone not authorized to sign on your accounts.

In order to ensure the security of your records, we will end your online session if we have detected no activity for 10 minutes. This is to protect you in case you accidentally leave your computer unattended while you are logged on. When you return to your computer, simply re-enter your user id and password and continue your session.

No Signature Requirement

When any payment or other on-line service generates items to be charged to your account, you agree that we may debit the designated account without requiring your signature on the item and without any notice to you.

Notice of Liability

Tell us AT ONCE if you believe your password has been lost or stolen. Secure E-Mail is the best way of keeping your possible losses down. You could lose all the money in your account (plus your maximum overdraft line of credit). If you tell us within two (2) business days, you can lose no more than $50.00 if someone used your password without your permission. If you do NOT tell us within two (2) business days after you learn of the loss, and we can prove that we could have stopped someone from using your password without your permission if you had told us, you could lose as much as $500.00.

If your statement shows transactions that you did not make, tell us at once. If you do not tell us within sixty (60) days after the statement was mailed to you, you may not get back any money lost after the sixty (60) days if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason (such as a long trip or hospital stay) kept you from telling us, we will extend the time period. Business Days

Our business days are Monday through Friday. Holidays are not included.

Cutoff Times

The Bank's transaction cut-off time is 9:00 p.m. Central Time. Transactions received after the cutoff time will be posted the following business day.

At certain times, a Service may not be available due to system maintenance or circumstances beyond our control. During these times, you may use our Telephone Banking Service, a Bank of Commerce automated teller machine (ATM) or visit one of our offices to obtain information about your eligible accounts.

Documentation

Periodic Statement: You will get a monthly account statement from us on your checking and Money Market accounts. You will get a monthly statement on your savings account unless there are no transactions in a particular month. In any case, you will get a savings account statement at least quarterly.

Confirmation or Receipt: A confirmation or receipt will be displayed at the time you make a transfer, submit a bill payment, initiate cash management transactions, or submit instructions for stop payments or check orders. This confirmation and/or receipt should be printed and kept for your records.

Your Right to Stop Payment

The Electronic Fund Transfer Act (Regulation E), states that you have certain stop payment rights and obligations as they relate to "Preauthorized Electronic Fund Transfers". These transfers are authorized in advance and scheduled to recur on a regular basis. You may stop payment on any Preauthorized Electronic Fund Transfer by calling or writing us at the address or phone number listed on this site, at least 3 business days before the payment is scheduled to be made. If you telephone us, we may ask that you send us your request in writing within 14 days after you call. We will charge you our normal stop payment service charge as listed in our fee schedule for each stop payment order you give. Stop payment orders are valid for six (6) months only. The exact amount and account number must be provided for our equipment to stop the payment.

Our Internet Banking Bill Payment product will allow you to delete (stop) a payment at the "Manage Payments" screen. You can only delete (stop) those payments that have a status code of "Pending". Once the payment is flagged as "Deleted", the payment will not be forwarded to the merchant.

Our Liability for Incomplete Transactions

If we do not complete a transaction to or from your account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will NOT be liable for instance:

In Case of Errors or Questions

E-mail us or telephone us at 337-783-2201 or write to us at Bank of Commerce and Trust Company, P. O. Box 246, Crowley, La. 70527-0246 as soon as you can, if you think your statement or receipt is wrong or if you need more information about a transaction listed on the statement or receipt. We must hear from you no later than 60 days after we sent the FIRST statement on which the problem or error appeared.

If you tell us orally, we may require that you send us your complaint or question in writing within ten (10) business days.

We will tell you the results of our investigation within ten (10) days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to forty-five (45) days to investigate your complaint or question. If we decide to do this, we will recredit your account within ten (10) business days for the amount you think is in error, so that you have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint in writing and we do not receive it within ten (10) days, we may not recredit your account.

If we decide that there is no error, we will send you a written explanation of our findings within three (3) business days after we finish our investigation. You may ask for copies of the documents that we used in our investigation. For errors involving new accounts, point of sale debit card transactions, or foreign-initiated transactions, we may take up to ninety (90) days to investigate your complaint or question. For new accounts, we may take up to twenty (20) business days to credit your account for the amount you think is in error.

Confidentiality

We do not disclose nor do we reserve the right to disclose, any nonpublic personal information about our customers or former customers to anyone, except as permitted by law.

Bank of Commerce is committed to protecting customer privacy. Our Customer Privacy Policy is available on our web site or upon request. We do not sell our customer lists or share information about you with third parties for marketing purposes.

Notices

All notices from us will be effective when we have mailed them or delivered them to your last known address on our records. Notices from you will be effective when received by us at the telephone or the address specified in this agreement. We reserve the right to change the terms and conditions upon which this service if offered. We will mail notice to you at least thirty (30) days before the effective date of any change, as required by law. Use of this service is subject to existing regulations governing your account and any future changes to those regulations.

Bill Payment Agreement

This is your Bill Payment Agreement with Bank of Commerce and Trust Company. You may use Bank of Commerce's bill service to direct Bank of Commerce to make payments from your designated checking account to the merchant you choose in accordance with this Agreement. The terms and conditions of this Agreement are in addition to the account agreements, disclosures and other documents in effect from time to time governing our account.

Bank of Commerce will process payments on the business day (Monday through Friday, except Federal Holidays) you designated the bill to be processed, provided the payment request is received prior to the cut-off time set by Bank of Commerce, which is currently 1:30 pm Central Time. Bill requests received after the business day cut-off time or on a non-business day will be processed on the next business day. The Bank reserves its right to change the cut-off time by giving you notice if it changes. Recurring payment requests will be processed on the dates you have designated, unless such date falls on a non- business day resulting in your payment being processed on the next business day.

YOU MUST ALLOW AT LEAST FIVE (5) BUSINESS DAYS
PRIOR TO EACH BILL'S DUE DATE
SO THE PAYMENT CAN REACH THE MERCHANT ON TIME.

You agree to have available and collected funds on deposit in the Account you designate in amounts sufficient to pay for all Bill Payments requested, as well as, any other payment obligations you have to the Bank. The Bank reserves the right, without liability, to reject or reverse a Bill Payment if you fail to comply with this requirement or any other terms of this Agreement. If you do not have sufficient funds in the Account and the Bank has not exercised its right to reverse or reject a Bill Payment, you agree to pay for such payment obligations on demand. You further agree the Bank, at its option, may charge any of your accounts with the Bank to cover such payment obligations.

You may change or cancel any Bill Payment, provided you access the Service and input the change or cancellation request prior to the cut-off time on the business day prior to the business day the Bill Payment is going to be initiated.

Computer Requirements

In order to use the Banks Internet Banking product, you will need computer or mobile device equipment and software that is current and meets the following minimum standards. The latest versions of Internet Explorer, Google Chrome, Firefox, Safari, Android and IOS are compatible with our Internet Banking. You will also need to have 128-bit encryption. We recommend that you upgrade to the latest browser and encryption version of Internet Explorer or Netscape. You will also need access to the Internet by an Internet Service Provider (ISP) of your choice. You are responsible for the installation and maintenance of your computer equipment and any software thereof. The Bank is not responsible for any errors, failure or non-performance of your computer equipment and/or software, nor is the Bank responsible for any errors, failure or non-performance of your chosen ISP. The Bank shall have no liability to you for any damages or other loss, direct or consequential, which you may suffer or incur by the installation and use of your computer equipment and software. We make no warranty to you regarding your computer software or ISP. Any links you choose to use from our site are at your discretion and risk. If you choose to download any information from these sites, you agree to indemnify and hold harmless the Bank from any problems you may encounter from doing so. The Bank makes no representations or warranties regarding the accuracy, functionality, or performance of any third party software that you use in connection with our Internet Banking product, e.g. Microsoft Money, Excel (Tab Delimited Text), or Quickbooks.

Mobile Device

A mobile device requires a Smart phone or tablet (e.g. Apple or Android.) You also must provide the type of Internet access service required by the Hardware and/or the software. Once the Hardware has been properly connected and any required Internet access has been established, you will be able to access Online Banking Services through the mobile device and banking service provider (the "Service Provider") that will act as an interface between you and the Bank. You are and will remain solely responsible for the purchase, hook-up, installation, loading, operations and maintenance of the Hardware, the software, and the Internet service (if applicable) to your mobile device, and for all related costs. You are solely responsible for scanning the Hardware and the software for viruses and other related problems before you use them. Standard data and messaging rates may apply.

Mobile Text Messaging Service

To use the Text Messaging Service, your mobile phone must support SMS text messaging and short codes. You will receive all Mobile Banking text messages from short code 454545. To make it easier to recognize our text messages, we suggest you add us to your contact list using short code 454545. Standard data messaging rates may apply.

Virus Protection

The Bank is not responsible for any electronic virus or viruses that you may encounter. We encourage our customers to routinely scan their PC and diskettes using a reliable virus product to detect and remove any viruses. Undetected or un-repaired viruses may corrupt and destroy your programs, files and even your hardware. Additionally, you may unintentionally transmit the virus to other computers.

Enforcement

In the event either party brings a legal action to enforce this agreement or collects amounts owing as a result of any account transaction, the prevailing party shall be entitled to reasonable attorneys' fees and costs, including fees on any appeal, subject to any limits under applicable law.

There is no monthly fee for Bill Pay

Amendment

The Bank has the right to change this Agreement anytime by notice mailed to you at the last address shown for the account on Bank of Commerce records, by posting notices in Bank branches or as otherwise permitted by law.

Termination

You agree that we may terminate this agreement if:

You or any other party to your account can terminate this Agreement by notifying us in writing or by E-mail. Termination of service will be effective the first business day following receipt of your written notice. Termination of this Agreement will not affect the rights and responsibilities of the parties under this Agreement for transactions initiated before termination.
